Berlin, July 13, 2012 - Beta Systems Software AG (BSS, ISIN DE0005224406) today
sold 100% of its shares in the subsidiary DETEC Software GmbH, Ruesselsheim. The
sale takes place with economic effect as of July 31, 2012. DETEC is acquired by
UNICOM Systems Inc, Mission Hills, USA, a global IT provider belonging to the
UNICOM Group. The purchase price runs to a figure in the single-digit million
euros mid-range.
Consistent continuation of strategic reorientation
By selling this no longer strategic entity, Beta Systems continues to pursue its
consistent strategic realignment process, focusing on key areas of expertise. As
a result of the sale, Beta Systems anticipates a cash inflow in the amount of
the full purchase price for the fiscal year 2011/12 as well as extraordinary
income at both group level (IFRS) and corporation level (HGB/German Commercial
Code).
Change to the Management Board of Beta Systems Software AG as of Dec 31, 2012
The Supervisory Board and Management Board Member and CEO Jürgen Herbott have
mutually agreed not to extend Mr. Herbott's current period of office beyond the
end of December 2012.
