The Company informs that Omega S.à r.l., Luxembourg, and PrimaCom intend to enter into a domination agreement by which PrimaCom will subject its management under the control of Omega S.à r.l. The domination agreement to be entered into will only come into effect following the approval by the supervisory board and the shareholders´ meeting of PrimaCom and the registration with the commercial register of PrimaCom.
The district court of Mainz today granted the joint motion of the contracting entities and appointed LKC TREUBEG mbH, Grünwald, as joint auditor of the domination agreement.
