Ad-hoc announcement according to § 15 WpHG
VIVACON AG has succesfully placed capital increase
Cologne, March 17th 2005. VIVACON AG (ISIN DE0006048911) has successfully completed the capital increase without subscription rights announced earlier today and placed the full 1,326,666 shares successfully with institutional investors in Germany and abroad, while demand exceeded the number of offered shares significantly. Two members of the executive board, Marc Leffin and Timo Herbrand, placed an additional 350.000 shares at the issue price in order to satisfy the surplus demand. The net proceeds of this placement will also go the company as final repayment of existing shareholder liabilities.
The new shares stem from a capital increase out of the authorized capital which the executive board resolved with the consent of the supervisory board. The subscription rights of shareholders had been excluded according to § 186 para. 3 sentence 4 of the German stock corporation law in connection with § 7 of the companys statutes.
At an issue price of EUR 14.00 per share the company will receive gross issue proceeds of approx. EUR 18.6 mn. The freefloat of VIVACON AG stands to rise to approx. 60.5% following the admission of the new shares to trading by the Frankfurt Stock Exchange.
The total proceeds from the issue will be used to exploit present, attractive business potentials and to strengthen the capital base of VIVACON AG.
The transaction was led and managed by HypoVereinsbank as sole bookrunner with Sal. Oppenheim jr. & Cie KGaA acting as a selling agent.
