COMPUTERLINKS AG announces the planned acquisition of the Securesoft Group in Scandinavia and also the results for the 1st quarter of 2005

COMPUTERLINKS AG is planning to acquire 100% of the Scandinavian
Securesoft Group. The Securesoft Group is represented with 4
companies in Finland, Sweden, Norway and Denmark. In 2004 the
Securesoft Group achieved turnover of 37 million Euro with profit
before tax of 2.3 million Euro. The initial purchase price to be paid
solely in cash is approximately 12 million Euro. The Board of
Management is currently reviewing all financing alternatives. The
value added distribution of the Securesoft Group is consistent with
that of the COMPUTERLINKS Group with a substantially corresponding
product portfolio.
COMPUTERLINKS AG is also announcing the results for the 1st quarter
of 2005:
The positive trend of the past financial year was continued in the
1st quarter of 2005. The group turnover of the value-added
distributor rose by 4.3% to 51.6 million Euro (1st quarter 2004: 49.5
million Euro). EBITDA (earnings before interest, taxes, depreciation
and amortisation) increased to 2.8 million Euro compared to 2.7
million Euro in the 1st quarter of 2004 (+1.5%). Earnings before
interest and tax (EBIT) showed a profit of 2.6 million Euro compared
to 2.4 million Euro in the same period last year (+7.9%). The net
income for the period of the 1st quarter of 2005 was 1.7 million Euro
compared to 1.5 million Euro in the 1st quarter of 2004 (+11.2%).
This corresponds to earnings per share of 0.27 Euro (1st quarter
2004: 0.25 Euro). Cash and cash equivalents amounted to 14.8 million
Euro as at 31.03.2005. Against this there are no bank loans or
overdrafts.
The breakdown of Group sales by country is as follows: 21.7 million
Euro were produced in the UK, 21.3 million Euro in Germany, 3.6
million Euro in Switzerland, 3.0 million Euro in France and 2.0
million Euro in Italy. As in the same period last year, the
e-security division was the most important growth engine with a share
of 83.6 % of total turnover. The e-business division produced 6.8
million Euro (1st quarter 2004: 9.0 million Euro) and the
Professional Services division 1.7 million Euro (1st quarter 2004:
1.6 million Euro).

intended acquisition of the Securesoft Group will open up for us
access to the whole Scandinavian market, in which we have not been
represented previously. It is the ideal complement to the existing
COMPUTERLINKS Group. The encouraging start to the financial year 2005
- both organically and also as a result of the planned geographical
expansion - makes us feel optimistic about the further course of
2005."
