freenet.de AG / Hamburg — freenet.de AG has agreed to a settlement -
as advised by the Hamburg district court - with the last of the seven
plaintiffs who had filed objections against the 2005 Annual General
Meeting’s merger decision, effective today. The Hamburg district
court today established the conclusion of the settlement, which means
that no legal challenges against motions adopted by freenet.de AG’s
Annual General Meeting 2005 are pending any longer.

The merger cannot be registered until the legal challenges filed
against the merger decisions adopted by mobilcom AG’s Extraordinary
Annual General Meeting 2005 have been eliminated. In the wake of
another partial settlement yesterday, mobilcom AG, Büdelsdorf, has
now reached settlements with 23 of the 24 plaintiffs who had
originally filed objections, and with all four interveners. Further
to this process, mobilcom AG continues to seek an out-of-court
settlement with its last remaining plaintiff.
