Precious Woods increases capital with shareholder options

The Annual General Meeting (AGM) of shareholders of Precious Woods Holding approved all motions of the board of directors. This included the approval of conditional capital to be utilised for a capital increase with shareholder options.
The conditions of the shareholder options were established by the board of directors. The exercise ratio was set at 11:1, i.e. 11 shareholder options grant the right to subscribe to one new share, and the strike price is CHF 82.00 per share.
Trading of the shareholder options is intended to take place on the SWX from 28 May 2008 until 28 October 2008; the exercise period will extend from 23 June 2008 until 31 October 2008, 12 noon.
If all shareholder options are exercised, Precious Woods will increase its capital by about nine percent and aims to raise about CHF 25 million (net) in new funds.
These funds will be employed for a series of expansion projects, including broadened access to forest resources in Latin America as well as acquisitions and efficiency improvements in the sales and processing of tropical timber. In Brazil, in the region of Itacoatiara, Precious Woods Amazon will purchase 70'000 hectares of additional forest connecting two of its already existing forest areas. Investments will be made in a power plant and an associated CO2 emissions reduction project in Gabon.
The AGM elected Ms. Katharina Lehmann as a new member of the Board of Directors replacing Arie van den Berg who retired. Daniel Girsberger and Rolf Jeker were re-elected for a further three year term.
