Catalis N.V. acquires Testline Holdings Ltd.

Eindhoven, April 4, 2005 - Catalis N.V. acquires 100% of Testline Holdings Ltd., London. Testline offers testing services for eLearning software as well as for complex websites and software. Though operating profitably, all these areas are in the early stages of their development. As part of Catalis N.V. Testline will now be able to engage in larger projects and accelerate its growth considerably. With the acquisition Catalis N.V. enters into three new markets and gets access to a wider range of clients. Furthermore Catalis will benefit from significant operational synergies.
Parties have agreed that the purchase price will not be disclosed. Catalis N.V. is financing the acquisition from operating cash flows. Testlines sales were EUR 0,6 million in fiscal year 2004. Considerable positive earnings were achieved. Based on a sizeable order backlog the management anticipates significant growth of sales and profits for 2005. Testline will be consolidated as of April 1, 2005 and will positively contribute to Catalis N.V.s´ group results. Founders of Testline will continue to manage the business and have entered into long term contracts with the company.
