Eindhoven, September 30, 2005 - Catalis N.V. is currently in advanced
negotiations to acquire a competitor and management is confident to
close the transaction in due course. Following the transaction
Catalis N.V. targets revenues of between euro 9 million and euro 11
million and profits of between euro 2.5 million and euro 3.5 million
for the year 2006. As part of the transaction Catalis expects
significant synergies in particular based on complementary client
bases, know-how and technical processes. Catalis views the
acquisition as part of its strategy of profitable growth.

To finance such growth Catalis N.V. shall issue euro 3 million in
convertible bonds. The convertible bonds will be issued with
pre-emptive rights for existing shareholders at an issue ration of 4
to 1, has a term of 4 years until 20th of October, 2009 and can be
converted at a conversion ratio of 1 to 1 into 3,931,250 shares in
Catalis N.V. with no additional payment provided the conversion ratio
does not change due to capital measures during the term of the bond.
An early conversion option is available for holders of the
convertible bond in October 2007 and October 2008. Catalis reserves
the right to convert the bonds at any time after the annual general
meeting for the fiscal year 2005. The issue price will be euro 0.75
per convertible bond. The subscription period is planned to commence
on October 5, 2005 and will close on October 19, 2005. Gebhard & Co,
