The Management Board of Solar-Fabrik AG (ISIN DE0006614712) has resolved today with the approval of its Supervisory Board to utilize its authorized share capital pursuant to § 5 para. 5 of its Articles and to increase the registered capital of the company, currently at 8.1 million Euros, by up to 800,000 Euros (i.e., by almost 10%). Accordingly, up to 800,000 new shares will be issued pursuant to § 186 para. 3 sent. 4 of the Stock Corporation Law at a price close to the current market quotation under exclusion of the pre-emption rights of its shareholders. The shares are to be issued in a private placement among investors. With this capital increase, Solar-Fabrik AG intends to strengthen its equity base and to gain additional latitude for financing future growth.
