MatchNet intends to effect a reincorporation in the United States Public offering and quotation on Nasdaq expected in September (E)

Los Angeles, June 11th, 2004 - MatchNet plc, whose global depository
shares are currently traded on the Frankfurt Stock Exchange, today
announced that it intends to effect a reincorporation in the United
States and that the reincorporated U.S. corporation will be filing a
registration statement promptly for a "firm commitment" public
offering of its common stock. It is currently anticipated that the
common stock will be offered by the United States corporation and
certain selling shareholders. It is expected that the public offering
will take place in September, subject to market conditions, and that
the common stock will be quoted on the NASDAQ National Market.  The
proceeds of the offering are expected to be primarily used for
working capital purposes.
