Hamburg, Nov. 14, 2003. The Management and Supervisory Board of d+s
online AG (ISIN DE0005336804 / WKN 533 680) have decided to increase
the company’s equity capital by EUR 668,712.00 through the issuance
of 668,712 shares with no par value again a cash contribution in
order to reinforce the company’s capital base and financial strength.
The new shares, to which existing shareholders do not have preemptive
rights, were underwritten at a price of EUR 1.80 per share by the VEM
Aktienbank AG in Munich, which will offer these shares to long-term
investors.

The inflow of funds in the amount of EUR 1.2 million will for the
most part be used to expand the facilities in Bremerhaven and
Frankfurt/Oder, which have not yet been completely equipped with the
required infrastructure. This expansion is necessary to accommodate
the higher revenues projected for the 2004 financial year. In
addition, the funds will be used in the short term to finance
operations in the traditionally busy fourth quarter and as a result
reduce the necessity of outside financing.

d+s online AG, which is included in the Prime Standard index,
operates communication centers at eight locations in Germany. With
revenues of EUR 48 million (E2003) and 1,600 employees, d+s online AG
ranks among Germany’s largest providers of CRM, communication center
and telemarketing services.
