Hamburg, January 31, 2006. PANDATEL AG (ISIN DE0006916307), listed on the Frankfurt Stock Exchange (Prime Standard), announces that its Supervisory Board, appointed by court order, convened for its constituent meeting. The new Supervisory Board members of PANDATEL AG elected from among them Dr Axel Pfeifer chairman, Dr Steffen Leistner deputy chairman and Mr Alex Fang ordinary supervisory board member.
On its constituent meeting, PANDATEL AGs new Supervisory Board expressly welcomed the measures introduced by the Management Board as regards restructuring of the company that are in accordance with the obligations of BaFin for granting an exemption from making a mandatory takeover bid pursuant to Art. 37 WpÜG in conjunction with Art. 9 para 1 number 3 WpÜG of the takeover directive.
