Hamburg, February 10, 2006. PANDATEL AG (ISIN DE0006916307), listed
on the Frankfurt Stock Exchange (Prime Standard), announces that Dr.
Steffen Leistner resigns from his office as Vice Chairman of PANDATEL
AG’s Supervisory Board effective with the end of the extraordinary
shareholders’ meeting to be convened soon.

The Management Board of PANDATEL AG will propose to the extraordinary
shareholders’ meeting, to be convened soon, that Dr. Jozef Straus,
former CEO of JDS Uniphase, the world-wide leading manufacturer of
fiber optic components, be elected member of the Supervisory Board of
PANDATEL AG. In the event, he is elected by the shareholders’ meeting
as new member of the Supervisory Board of PANDATEL AG according to
the proposal of the Management Board, he has declared to accept such
office.
