On 9 October 2004, Deutsche Telekom AG, Bonn, decided to make an offer to the shareholders of T-Online International AG, Weiterstadt, to acquire all registered shares with no par value of T-Online International AG, each share with a proportionate amount of EUR 1.00 in the registered share capital, by way of a voluntary tender offer against payment of a purchase price of
EUR 8.99 per no par value share.
The voluntary tender offer will not be subject to any acceptance level conditions and will be governed by the terms yet to be communicated in the offer document. Deutsche Telekom AG currently expects to publish the offer document in November 2004, assuming routine regulatory clearances are obtained in a timely manner.
The shares of T-Online International AG are traded in the Prime Standard of the Regulated Market (Geregelter Markt) of the Frankfurt Stock Exchange and on the stock exchanges in Berlin-Bremen, Düsseldorf, Hamburg, Hanover, Munich, and Stuttgart (in open trading – Freiverkehr) under the German securities code number (WKN) 555770 as well as under the International Securities Identification Number (ISIN) DE 0005557706.
Currently, Deutsche Telekom AG holds 73.93% of the 1,223,884,699 no par value shares of T-Online International AG.
