Supervisory Board Chairman Dr. Jürgen F. Kammer stands down
Dr. Jürgen F. Kammer, Chairman of the Supervisory Board of Süd-Chemie AG advised the Supervisory Board at its meeting held today that he will not be standing for re-election to the Supervisory Board at the forthcoming Annual General Meeting on 13 June 2006.
His decision is due to the new shareholder constellation which has arisen as a result of the former major shareholders, Allianz, Possehl Beteiligungsverwaltung and Bayerische Landesbank, having sold their block of shares (totalling 39.18%) to SC-Beteiligungsgesellschaft mbH, Frankfurt am Main, a subsidiary of One Equity Partners LLC, New York, USA, at the beginning of 2006.
The Supervisory Board and the traditional Süd-Chemie AG shareholders regret Dr. Kammer´s decision in view of his great services to the company as Chairman of the Managing Board for twelve years and for two years as Chairman of the Supervisory Board. The Supervisory Board acknowledged Dr. Kammer´s remarkable achievements for Süd-Chemie, expressing its appreciation and thanks for his service.
A decision on the future composition of the Supervisory Board will be made at the Annual General Meeting to be held on 13 June 2006, when its present term of office will expire. Dr. Dietrich Schulz, for many years Deputy Chairman of the Supervisory Board, will probably become Chairman. The new major shareholder, SC-Beteiligungsgesellschaft mbH, will probably be represented with one seat on the Supervisory Board.
