ECO Business-Immobilien AG: capital increase resolved by Annual General Meeting
Vienna, 22 May 2007. In the 4th Annual General Meeting of ECO Business-Immobilien AG on 22 May 2007, a cash capital increase in the nominal amount of up to EUR 200 million by issuing up to 20 million new shares was resolved. On full use of the volume of the capital increase, the company's share capital would increase to up to EUR 450 million.
In addition, the Annual General Meeting granted the company an authorised capital in the nominal amount of up to 50% of the existing share capital. Thus, the Management Board was authorised to increase the share capital of the company by a nominal amount of up to EUR 125 million by issuing up to 12.5 million new shares. This capital measure can be utilised until 22 May 2012 in one or several tranches, partially or entirely. Furthermore, the Management Board was authorised to exclude subscription rights when utilising the granted authorised capital.
For the 2007 fiscal year, Auditor Treuhand GmbH, Wirtschaftsprüfungs- und Steuerberatungsgesellschaft was appointed to audit the consolidated and single-entity financial statements. In addition, the Company's Annual General Meeting on 22 May 2007 resolved to elect the real estate specialist, Günter Kerbler, 51, as a new member of the Supervisory Board of the company. Resolutions to all other items on the General Meeting's agenda (to the extent these were necessary) were made in line with the motions for such resolutions.
