Cuxhaven, November 06, 2006 - The Board and Supervisory Board of Plambeck Neue Energien AG (ISIN: DE000A0JBPG2) have resolved to make use of the possibility of a cash capital increase. The funds reaching the company from this are essentially to be used to reduce loans. As a result of significant discounts in the offers of the banks in existence for the redemption of the loans, Plambeck Neue Energien AG can achieve extraordinary income of up to 7.2 mill. Euro from this in this fiscal year.
The approved capital will be used in order to increase the company's share capital from currently 25.1 Euro to up to 37.5 Euro by issuing up to 12.4 new individual bearer shares with a calculatory share in the capital of 1.00 Euro each against cash contributions. The issue price has not yet been set. The new shares participate in the profits from January 1, 2006. The shareholders can be granted a subscription right in a ratio of 2:1. Shares not subscribed by the shareholders are to be offered for subscription in the Federal Republic of Germany and to selected investors within the framework of a private placement by means of a public offer. The capital increase is being accompanied by the VEM Aktienbank AG, Munich.
