Robert Bosch GmbH has reached an agreement with the aleo solar's key shareholders to acquire their interests in the company (39.43 percent of the share capital) for EUR 9.00 per share. Bosch is planning to make a voluntary public takeover offer for the company's shares at the same price in that connection. Obtaining the approval by antitrust authorities and achieving the minimum acquisition threshold of at least 75 percent (which is to be fixed in the public offering) are the main requirements for carrying out both the package deal and the takeover offer.
Today, Bosch also entered into an agreement with shareholders of Johanna Solar Technology GmbH (in which the company has a stake) regarding the acquisition of the majority of their stakes, subject to certain conditions precedent. The company will no longer pursue it's own previously contemplated plan to acquire additional shares in Johanna Solar Technology GmbH if the public takeover offer and the acquisition agreements are implemented.
