The Management Board and Supervisory Board of aleo solar AG today issued a joint statement pursuant to Section 27 of the German Securities Acquisition and Takeover Act (WpÜG) on the amended voluntary public takeover offer submitted by Robert Bosch GmbH on September 25, 2009. Robert Bosch GmbH has now waived its condition precedent in regards to the minimum acceptance threshold pursuant to section 12.1.2 of the offer document. The modification of the offer has extended the acceptance period by two weeks, specifically, until midnight on October 12, 2009.
Having reviewed the modified offer document, the Management Board and the Supervisory Board welcome the waiver of the condition precedent related to achievement of the minimum acceptance threshold. Hence the modification of the offer does not change the assessment by both the Management Board and the Supervisory Board of Robert Bosch GmbH's takeover offer.
