The members´ representatives of Sanacorp eG Pharmazeutische Großhandlung approved in their meeting held today on June 23, 2007 the spin-off of the entire operations of Sanacorp Pharmahandel Aktiengesellschaft (hereinafter "Sanacorp AG") to a new company to be established for that purpose. The representatives approved at the same time during their meeting that, following the spin-off, Sanacorp AG should contribute its entire investment in this new company to a joint venture domiciled in Italy equally represented by the Company and CERP Rouen SA. The pharmaceutical wholesale activities of Sanacorp AG and CERP Rouen SA in Germany, France and Belgium are to be carried out in the future under the roof of this holding company.
Sanacorp eG Pharmazeutische Großhandlung owns all ordinary shares (some 73.4 % of subscribed capital) in Sanacorp AG and thus owns 100 % of the voting rights in its Annual General Meeting. Based on the resolutions passed in its representatives´ meeting, Sanacorp eG Pharmazeutische Großhandlung will also approve in the Annual General Meeting of Sanacorp AG to be held on June 27, 2007, the resolutions proposed by the Management and Supervisory Boards in relation to Item No. 7 on the agenda (spin-off of operations) and Item No. 8 on the agenda (contribution to a joint venture with CERP Rouen).
