Legal and executive body representation at Leonardo Venture GmbH & Co. KGaA to be performed by ELGE Vermögensverwaltungsgesellschaft mbH until further notice.
In the ad hoc announcement from October 2, 2008 the Supervisory Board of Leonardo Venture GmbH & Co. KGaA and Leonardo Venture Capital GmbH (general partner) announced the termination of the shareholder status of Leonardo Venture Capital GmbH as the general partner of the company as of December 31, 2008.
At the same time, the Supervisory Board and the general partner reached an agreement that the capacity to act at Leonardo Venture GmbH & Co. KGaA be established by the granting of a power of attorney to ELGE Vermögensverwaltungsgesellschaft mbH domiciled in Heidelberg, whose managing director is Mr. Steffen Paul. In addition Mr. Steffen Paul was granted general power of attorney at Leonardo Venture GmbH & Co. KGaA and is able to perform all the obligations of a managing director.
On December 19, 2008 at the request of the Supervisory Board of Leonardo Venture GmbH & Co. KGaA, Mannheim Registration Court passed a resolution on the appointment of ELGE Vermögensverwaltungsgesellschaft mbH as the emergency executive body with effect on January 01, 2009. By date of today the company received a confirmation of the resolution of the Registration Court. With this resolution both the legal and executive body representation of Leonardo Venture GmbH & Co. KGaA by ELGE Vermögensverwaltungsgesellschaft mbH is now guaranteed. Through its status as the emergency executive body the latter now replaces the previous general partner of the KGaA for the time being.
Thus the future capacity to act is guaranteed in full at Leonardo Venture. Unaffected by this is the planning of the Supervisory Board, of the general partner now appointed as an emergency executive body, and of the appointed agents to transform Leonardo Venture GmbH & Co. KGaA into a stock corporation.
