Hamburg, March 26, 2010 - With effect from today, MPC Münchmeyer Petersen Capital AG, Hamburg, ISIN DE 0005187603, reached an agreement with its financing partners that will secure the company´s funding base.
The agreement contains important and far-reaching commitments from the financing partners regarding existing credit agreements and liabilities as well as their terms and conditions. In particular, the parties agreed the renewal of existing credit lines and bridge loans as well as the waiver of certain covenants. The agreement is set for three and a half years and secures a stable funding base as well as the financing for MPC Capital AG, for funds currently placed and funds to be placed in future. The secure financing is a solid basis for new business.
In connection with this agreement, the Management Board and the Supervisory Board of MPC Capital AG decided to increase the company´s share capital from EUR 18,212,918 to up to EUR 27,022,877 using authorised capital. Shareholders will be offered 8,809,959 new shares on a 2:1 basis. The subscription price is EUR 2,75.
The main shareholders, MPC Münchmeyer Petersen & Co. GmbH (MPC Holding), Corsair III Investments (Luxembourg) S.á.r.l. (Corsair Capital), Oldehaver Beteiligungsgesellschaft mbH and Ulrich Oldehaver (Oldehaver) have committed themselves within a fixed application for subscription to invest EUR 20 million into MPC Capital during the capital increase.
The fixed applications for subscription are subject to an exemption from a take-over bid by the German Federal Financial Supervisory Authority (BAFin).
The new shares from the capital issue will be traded at the same price as the company´s existing shares in the regulated markets of the stock exchanges in Frankfurt am Main and Hamburg.
