Hamburg, April 16th, 2010, MPC Münchmeyer Petersen & Co. GmbH ("MPC
Holding") and Corsair III Investment (Luxembourg) S. à. r. l.
("Corsair Capital") have informed MPC Capital AG, Hamburg, ISIN DE
0005187603, that as a result of a pooling agreement their
corresponding voting rights in MPC Capital AG each have reached
around 60%.MPC Holding has further informed MPC Capital AG that due to an additional pooling agreement with the Oldehaver Beteiligungsgesellschaft mbH and Ulrich Oldehaver those voting rights are also attributed to MPC Holding.
Correspondingly, the voting rights of MPC Holding are also attributed to Oldehaver Beteiligungsgesellschaft mbH and Ulrich Oldehaver. As a result, the voting rights of Oldehaver Beteiligungsgesellschaft mbH and Ulrich Oldehaver exceed the threshold of 30%, which according to § 29 of the German WpÜG would in general result in a duty offer to minority shareholders. Both, MPC Holding and Corsair Capital as well as the Oldehaver Beteiligungsgesellschaft mbH and Ulrich Oldehaver have been exempted from the obligation of a duty offer by the German Federal Financial Supervisory Authority (BaFin) in accordance with § 37 of the German WpÜg.
