Koblenz (euro adhoc) - January 12, 2012: CompuGroup Medical today concluded an
agreement to acquire 100% of the shares in Microbais Werkmaatschappij B.V..
Microbais is one of the market leaders in ambulatory and pharmacy information
systems in the Netherlands. The 2011 turnover is expected to amount to 11.2
million Euro with about 70% recurring revenue and EBITDA is expected to be 2.5
million Euro.
Microbais employs around 90 employees and is headquartered in Amsterdam. Around
475 pharmacies as well as 150 doctors' practices count among the company's
customers. This is equivalent to a market share of about 25% within pharmacies
and 4% within office-based physicians.
With this acquisition CompuGroup Medical increases its market shares in the
Dutch pharmacy and doctor software markets to around 45% and 15% respectively.
Customers will be provided with access to the international product platform of
CompuGroup Medical and benefit from SAM solutions (intelligent software assisted
medicine) that are worldwide leading in terms of innovation and security.
In this transaction CompuGroup Medical also acquires a 51% majority holding in
MediPharma Online, a start-up enterprise in the field of networking between
patients and pharmacies.
Frank Gotthardt, CEO of CompuGroup Medical AG, underlined the relevance of this
acquisition: "After the successful acquisition of Ascon Euroned, today CGM
Netherlands, the purchase of Microbais is a crucial step towards extending the
market position in the Dutch pharmacy software sector. At the same time we
strengthen our coverage in the field of ambulatory information systems. The
highly positive feedback from shareholders and employees of Microbais regarding
this transaction encourages us in using this excellent start into the year 2012
with full power in the best interest of our customers."
The purchase price amounts to approximately 15,0 million Euro and will be
financed from existing cash and credit facilities.
