Cashcloud AG to strengthen capital position

  - Binding commitment of an investor to provide fresh equity in the amount
    of EUR 1.5 million and immediate loan of EUR 400'000 from another
    investor

  - Conversion of existing loans of EUR 1.8 million into equity, subject to
    required approvals

  - Intention to issue 412'500 new shares from authorized capital by end of
    August 2015

  - Issuance of new shares at EUR 8, corresponding to closing price on June
    18, 2015, excluding subscription rights of current shareholders

Basel, June 19, 2015. Cashcloud AG announces a binding agreement with an
investor to provide the company with fresh equity in the amount of EUR 1.5
million. Additionally, another investor will provide the company with a
loan of EUR 400'000, effective immediately. Finally, creditors have offered
the company to convert loans in the amount of EUR 1.8 million into equity,
subject to statutory procedures and approvals. The Board of Directors of
Cashcloud AG therefore intends to issue 412'500 new shares from authorized
capital by end of August. The new shares will be issued at EUR 8, the
closing price of June 18, 2015, at Deutsche Börse (Xetra), excluding
subscription rights of current shareholders. The number of shares will be
increased from the current 12'000'000 to 12'412'500 shares. Available
authorized capital will decrease from the current 6'000'000 to 5'587'500
shares.
