MAN OIL GROUP AG ANNOUNCEMENT: Admission of Issued Shares to the Market -
Notification according Markets Rules 10.3 and 10.4

Man Oil Group AG - GXG First Quote (MOG)

Zug/Switzerland, March 5th 2015.
Man Oil Group AG (or the "Company") is pleased to announce the admission of
additional 225'694 bearer shares of the Company at GXG First Quote.
On June 28th 2013 the Company issued 225'694 bearer shares of a nominal
value of CHF 1.00 each at an issue price of CHF 31.30 per share. The
capital increase was based on the approved resolution of the General
Assembly as of March 27th 2013 (Authorized Capital). The shares have been
offered to shareholders in form of a rights offering. The new shares have
been paid fully up increasing the Company's share capital from CHF
1'580'000.00 to CHF 1'805'694.00. CHF 6'838'528.20 have been added to the
reserve contribution of capital of the Company. The total number of
outstanding shares after the capital increase is 1'805'694 fully paid up
bearer shares with a nominal value of CHF 1.00 each. The capital increase
has been notified to the commercial register of the Canton of
Zug/Switzerland as of June 28th 2013.
