AD HOC ANNOUNCEMENT
 
Change to the Goldbach Group Board of Directors

Küsnacht, 3.3.2016. Joachim Schoss, member of the Board of Directors of Goldbach
Group AG, will leave this position at the company's General Meeting on 7 April
2016. The Board of Directors will propose the General Meeting appoints Arndt C.
Groth as his successor.

Joachim Schoss has been a member of the Board of Directors of Goldbach Group AG
since 2002 and is also a member of the Compensation and Business Development
Committees. In order to devote more time to his personal interests and other
mandates, he will be resigning from the Board of Directors at the General
Meeting on 7 April 2016. Speaking about his decision, Joachim Schoss said, "I
leave the Board of Directors with the good feeling that today, Goldbach Group is
in a very good position with regard to both the overall business and its
personnel". Jens Alder, Chairman of the Board of Directors of Goldbach Group,
would like to thank Joachim Schoss for his 14 years of valuable service at the
company.

The Board of Directors will propose to the General Meeting that Arndt C. Groth
be chosen as Joachim Schoss' successor. He would serve on both the Board of
Directors and Compensation Committee. Arndt C. Groth was born in 1964 in
Hamburg. Following his business administration studies at the Westfälische
Wilhelms University in Münster, he worked in numerous management positions in
internet and media companies, most recently as CEO of Publigroupe in Lausanne. A
pioneer in digital marketing, Groth has been promoting internet business models
since 1995, and can also draw on his extensive experience in traditional media.
Between 2003 and 2013, he was President of the Bundesverband Digitale Wirtschaft
(BVDW) e.V., a German organisation that represents the interests of companies in
the digital space.

Board of Directors, as well as extensive experience in precisely those areas
