VIVACON AG issues a EUR 24m convertible bond
fully subscribed for by Credit Suisse

Yesterday evening, the management board of VIVACON AG (ISIN
DE0006048911) decided to issue a convertible bond in the amount of
EUR 24.0m, which was fully subscribed for by Credit Suisse Securities
(Europe) Limited, London, ("Credit Suisse") acting as a principal
investor. Due to the high equity returns of the company, VIVACON AG
intends to use the proceeds of the convertible bond for attractive
business opportunities in the current market environment, especially
the acquisition of ground lease portfolios.The issuing volume of the convertible bond amounts to EUR 24.0m and was fully subscribed for by Credit Suisse at the fixed conversion price of EUR 12.54 per share. The coupon of the Convertible Bond is 4.875% and the conversion premium at the time of the issue was approximately 13% above the 5 day reference share price of EUR 11.09. At maturity, the effective conversion premium will be approximately 18% and the repayment will be 104.3% of the denomination. The maturity of the convertible bond is 5 years and the convertible bond can be converted into approximately 1.9m Vivacon shares. The management board in agreement with the supervisory board has excluded the shareholders´ pre-emptive rights and uses the authorization granted by the Annual Gen-eral Meeting on May 15th 2006. VIVACON AG plans to list the convertible bond on the Open Market (Freiverkehr) segment of the Frankfurt stock exchange.
