actions confirmed by special audit of P&I´s supervisory board

The final report of a special audit regarding several incidents at P&I Personal & Informatik AG, which was initiated by the company´s supervisory board, has now been made available to the management board. The external experts have determined that none of the incidents assessed constitute a relevant breach of duty by the members of the management board of P&I AG. In its meeting on 18 January 2010, the supervisory board unanimously adopted a resolution that specific incidents be audited according to sec. 111 para. 2 sents. 1 and 2 of the German Stock Corporation Act (AktG). The audit was carried out by attorneys Flick Gocke Schaumburg of Bonn and auditing firm Warth & Klein mbH of Düsseldorf. According to their assignment, the auditors reviewed all relevant incidents to an extensive degree and determined that all questions and requests for information directed at the management board had been answered exhaustively. According to the final report, at no occasion during the auditing process information had not been provided or documents not been disclosed. The investigators also confirmed that after having reviewed all necessary documents, they did not believe that information had been held back. Based on this extensive investigation the auditors come to the conclusion that none of the incidents assessed constitute a relevant breach of duty by members of the management board. The final report of the auditors thus confirms the view of the management of P&I AG that the management board could not be accused of any violation of its duties in office.
