Today, ABIT AG has received the decision of the Higher Regional Court of Düsseldorf, which rejects the appeal to set aside the decision handed down by the Düsseldorf Regional Court on October 20, 2005, according to Sec. 16 (3) German Reorganization Act. Its decision is final. Therefore, the appellate court approved the merger between ABIT AG, Meerbusch, and GFKL Financial Services AG, Essen, that was resolved as such at the annual general meetings of both companies in June 2005, and against which some shareholders brought actions to have the ABIT AG annual general meetings resolution set aside. The registration of the merger in the commercial register of GFKL Financial Services at the Local Court of Essen has been filed.
