Munich, March 29, 2004 - The management board of Advanced Medien (ISIN DE-0001262186, SIN 126218) today resolved to utilize authorized capital in the amount of EUR 897,750.00 for the purpose of carrying out a cash capital increase at a ratio of 2:1. This resolution was approved by the company's supervisory board. The cash capital increase serves to partially offset the loss amounting to more than half of the company's capital stock, which will once again be officially announced to the shareholders as part of the preparations for the annual general meeting on May 19, 2004. The new shares will be offered to shareholders through Consors Capital Bank AG in Berlin by way of an indirect subscription right at a price of EUR 1.00 for a period of two weeks beginning April 5, 2004 at a ratio of two old shares for one new share. These new shares will rank for dividend from January 1, 2004. Trading of subscription rights is not planned. The subscription offer will be published in the electronic Federal Bulletin and in the Financial Times Deutschland on March 31, 2004.
If all new shares are sold, the company's capital stock will increase to approximately EUR 2.7 million.For the time being, the company does not plan to have the shares listed at the stock exchange. At first, the new shares will be available on the OTC market at the Berlin-Bremen Stock Exchange. The company plans to apply for a listing of the new shares on the Regulated Market of the Frankfurt Stock Exchange later this year after a further capital increase including the subscription right of shareholders has been carried out. Such a capital increase is scheduled to be approved at the annual general meeting on May 19, 2004.
