Advanced Medien AG acquires Atlas Air Film+Media Service GmbH
Munich, May 06, 2004 - The management board of Advanced Medien AG (ISIN DE-0001262186, SIN 126218) today signed the notarized sales agreement for the acquisition of all of the shares of the previous Kinowelt subsidiary Atlas Air Film+Media Service GmbH, Duisburg, and its wholly-owned US subsidiary Atlas Air Entertainment Concepts, Inc., Los Angeles. The seller and purchaser agreed not to disclose the purchase price. Following payment of the full purchase price, ownership of the company will be transferred with retroactive effect on earnings as of January 1, 2004. The purchase price is intended to be financed through the announced capital measures of Advanced Medien AG. Based on the successfully completed capital increase which was initiated on April 20, 2004 and the ongoing discussions with institutional investors, the management board expects the sales agreement to be finalized and signed as planned.
The Atlas Air Group is one of the world's leading providers of inflight entertainment services to airlines. Its range of services comprises program research and selection, the purchase of airline film licenses, consultancy for print magazines and Internet concepts, and the provision of all kinds of information on film including timeline management for digital content on the latest, interactive platforms on board of aircraft. In fiscal year 2003, the Atlas Air Group recorded sales approx. EUR 20 million. The Group has a total of 32 employees, five of which are based in Los Angeles. Atlas Air currently serves 24 airlines.
