DISCLOSURE ANNOUNCEMENT PURSUANT TO § 15 WpHG

AIG International Real Estate  GmbH  &  Co.  KGaA:  Actions  of  
annulment  with respect to resolutions taken at the Annual General 
Meeting

Frankfurt am Main, August 20, 2008 - On August 19, 2008, the Company 
received notice of actions of annulment from three shareholders 
holding one share each. The actions for annulment are with respect to
resolutions taken, with a majority of 96%, at the Annual General 
Meeting on June 26, 2008, in particular:

• the resolutions related to the indemnification of the personally liable shareholder and the Supervisory Board for the financial year 2007, due to the alleged delayed publication of the Company's statement on the Corporate Governance Codex, and
• the resolution for the authorization of the Company to acquire its own shares without subscription rights, due to the alleged lack of a report of the Supervisory Board.

The Company believes that all three essentially identical claims are 
abusive and will move to have the claims dismissed. The date for the 
court hearing is November 11, 2008.
