Frankfurt am Main, April 9, 2008 - Neue Sentimental Film AG (ISIN: DE0005341408), a leading, international company for the production of advertising films and TV formats, acquired a 100% interest in the Telemaz Group this evening. The Telemaz Group is located in Berlin, Düsseldorf and Hamburg. A purchase price of EUR 3.45 million has been agreed for the acquisition. This will mostly be financed by increasing NSF AG's capital by 2,450,000 new no-par value shares to a total of 13,114,000 shares via a non-cash capital increase. The sellers have valued the shares at a price of EUR 1 per share when agreeing this price and have concluded lock-up agreements for these shares. In addition, a multi-year installment payment plan has been agreed.
The Telemaz Group ranks third on the German advertising film market and is an ideal partner for NSF as its value chain focuses on different areas and also due to its portfolio of customers. The branches acquired recorded total revenues of EUR 13.8 million in fiscal year 2007. This results in pro-forma revenues of EUR 52.6 million for the combined group, thus making it the strongest advertising film producer in terms of revenues in both Germany and Europe.
The Telemaz Group is to mostly continue its operations with its existing management team, brand and structures. In addition, the previous shareholders and founders also want to contribute to the positive growth of the expanded overall group. Corresponding long-term agreements have been concluded with Telemaz' executives in order to support the new market leader's dynamic growth strategy. In particular, a new position is to be created on NSF's Managing Board for a member of the Telemaz' management team.
Increased forecast for 2008
The Managing Board believes that the combined group will record total revenues of between EUR 55 million and EUR 58 million and EBIT of between EUR 1.6 million and EUR 2.05 million taking the individual forecasts into account. After the integration has been successfully completed, annual synergies of between EUR 0.6 million and EUR 0.8 million will result from the optimized use of resources, however these synergies will not bear their full fruit in 2008.
