Nuremberg, November 18, 2008 - Kyocera Mita Corporation, Osaka, Japan, has announced today that it will significantly expand its stake in TA Triumph-Adler AG beyond the 29.9% it has held to date, and submit a voluntary public takeover offer to shareholders. The plan is to submit an offer of EUR 1.90 per share. The takeover aims to achieve a secure shareholders general meeting majority with a stake of around 60% to 75% of the share capital, according to Kyocera Mita. In this case, TA Triumph-Adler AG would remain a listed company; there is no intention to de-list the company or to perform a squeeze-out. For the time being Kyocera Mita is not planning to enter into a domination agreement. Initial discussions between the senior management of Kyocera Mita and TA Triumph-Adler AG relating to a potential takeover offer by Kyocera Mita have already taken place. The Management Board of TA Triumph-Adler AG adopts an essentially positive stance to this intention on the basis of these discussions. It regards the commercial consequences of the offer as favorable, since it promises advantages for the staff members, shareholders, and customers of the TA Triumph-Adler Group, according to the current conviction of the Management Board. Kyocera Mita plans to significantly expand the cooperation between both companies as part of the restructuring of its equity stake. A particular aim is to apply TA Triumph-Adler Direct Sales' successful sales model across the whole of Europe, and transfer related responsibility to TA Triumph-Adler as OEM and brand partner. This step unlocks considerable advantages and opportunities for expansion for both sides in terms of operating activities: Kyocera Mita can better exploit the business model's current position of leadership in Germany, Austria, the Czech Republic, and Switzerland, as an additional sales channel. With its financially strong and reliable partner, TA Triumph-Adler can continue to establish itself in the market as an independent company with its strong TA Triumph-Adler brand, including internationally. Today's Distribution business under the UTAX brand will remain under TA Triumph-Adler management. Synergies are expected within both companies, the details of which will be developed after the transaction has been concluded.
