Morgan Stanley Bank AG, having its seat at Junghofstraße 13-15, 60311
Frankfurt am Main, and ABN AMRO Bank (Deutschland) AG, having its
seat at Theodor-Heuss-Allee 80, 60486 Frankfurt am Main have agreed
today that with effect as of 2 October 2007 Morgan Stanley Bank AG
shall be substituted by ABN AMRO Bank (Deutschland) AG in accordance
with the terms and conditions of the Loan Participation Notes issued
by Morgan Stanley Bank AG (ISIN: XS0164067836 and US368287AA60) (the
"Notes") and the trust deed dated 28 February 2003 (the "Trust Deed")
constituting the Notes between The Bank of New York as trustee and
Morgan Stanley Bank AG (i) as issuer and principal obligor under the
Notes and the Trust Deed and (ii) as lender in respect of the
US$1,750,000,000 loan to Open Joint Stock Company Gazprom ("Gazprom")
made under the loan agreement dated 27 February 2003 between Morgan
Stanley Bank AG and Gazprom and financed by the issue of the Notes.Frankfurt am Main, 2 October 2007
