The pharmaceutical wholesale company Sanacorp Pharmahandel GmbH
("Sanacorp GmbH"), which is an investment of Sanacorp Pharmaholding
Aktiengesellschaft (ISIN: DE000763131) via its 50 percent interest in
the Italian holding company Millennium S.p.A., has signed an
agreement on the acquisition of von der Linde Group, Düsseldorf in
the afternoon of 22 December 2008. The performance of the agreement,
along with other terms and conditions, is still subject to the
competition authorities´ approval.Sanacorp GmbH acquires from the family owners all shares in von der Linde GmbH & Co. Immobilienverwaltung KG, which in turn is sole shareholder of the operating company v.d. Linde Arzneimittel GmbH. This company distributes pharmaceutical products to pharmacies from its branches in Düsseldorf and Herne, generating sales revenue in the past financial year 2007/2008 of approximately EUR 890 million with a staff of 848. According to the sales and purchase agreement, Caesar und Loretz GmbH, which also belongs to Linde Group and produces basic pharmaceutical substances, is intended to be removed from the corporate group. Sanacorp GmbH, which generates revenue of approximately EUR 2.7 billion from 15 branches and anticipates net income of some EUR 12 million for 2008, will use this transaction to strengthen its presence in North Rhine-Westphalia. This acquisition is expected to generate earnings net of refinancing expenses as early as 2009; subsequently, the expected synergies are supposed to increase potential dividend payments by up to 25%.
