Vienna/Frankfurt - The Management Board of C-QUADRAT Investment AG (ISIN
AT0000613005) intends to streamline the existing corporate Group structure.
It is intended to clearly separate the C-QUADRAT asset management units within
the Group and to position them more clearly for the market, thereby achieving a
stronger focus of these units on their business activities under the umbrella of
C-QUADRAT Investment AG as a holding company.
Specifically, it is planned to spin off the business operations of
C-QUADRAT Wealth Management GmbH (formerly: C-QUADRAT Kapitalanlage AG) to ARTS
Asset Management GmbH, in which the company holds a 45% stake. In return,
societal profit participation rights ("sozietäre Genussrechte") will be granted
to the company instead of additional company shares.
The remaining residual assets of C-QUADRAT Wealth Management GmbH are to be
merged with C-QUADRAT Asset Management GmbH, in which the company holds a 74.9%
stake.
In the medium term, these measures should lead to cost synergies, particularly
in the areas of management and administration, due to the reduction of a group
company and the saving of an additional regulatory license.
The implementation of the planned restructuring is subject to the conditions
precedent of approval of the supervisory board of
C-QUADRAT Investment AG as well as the authorization from the Austrian Financial
Market Authority.
The Management Board currently assumes that the corporate restructuring
described above can be completed by autumn 2018.
