GOETHE INVESTMENTS S. à r. l. has just informed the management board of ALTA FIDES Aktiengesellschaft für Grundvermögen that it acquired under the condition precedent of payment of the purchase price further shares in ALTA FIDES Aktiengesellschaft für Grundvermögen. Thereby the proportion of voting rights of GOETHE INVESTMENTS S. à r. l. in ALTA FIDES Aktiengesellschaft für Grundvermögen increased to approx. 64.16%. Thus, GOETHE INVESTMENTS S. à r. l. has attained control in ALTA FIDES Aktiengesellschaft für Grundvermögen.
Due to the aforementioned acquisition further companies of CORESTATE group, which are in each case entitled to up to 75.48% of the voting rights in ALTA FIDES Aktiengesellschaft für Grundvermögen, have attained indirect control in ALTA FIDES Aktiengesellschaft für Grundvermögen.
GOETHE INVESTMENTS S. à r. l. has informed ALTA FIDES Aktiengesellschaft für Grundvermögen that it shall submit a mandatory tender offer to the outstanding shareholders in ALTA FIDES Aktiengesellschaft für Grundvermögen according to the Securities Acquisition and Takeover Act (Wertpapiererwerbs- und Übernahmegesetz) regarding the acquisition of their bearer shares without nominal value for a price amounting to EUR 15.00 per share in cash.
