"Ad hoc disclosure according to section 15 German Securities Trading Act (WpHG)
GSW Immobilien AG intends to acquire real estate portfolio in Berlin with
approx. 4,800 apartments
Berlin, September 16, 2011 Today GSW Immobilien AG and a GAGFAH S.A. group
company entered into an exclusivity agreement with regard to the potential
acquisition by GSW Immobilien AG of a residential real estate portfolio
comprising approx. 4,800 apartments. The parties currently value the portfolio
which is mainly situated in good residential areas in Berlin with approx. EUR
330 Mio. They have further reached an agreement on key terms of a potential
transaction. The parties intend to shortly enter into binding agreements. A
consummation of the transaction would be subject to merger clearance.
