GSMN Neuchâtel SA integrates Clinique Montbrillant

Genolier Swiss Medical Network (GSMN) continues its development and invests
in La Chaux-de-Fonds. An agreement regarding the integration of Clinique
Montbrillant within GSMN Neuchâtel SA, a 100% subsidiary of GSMN, has been
signed on 30 March 2015. This agreement will allow GSMN Neuchâtel SA to
offer medical services on two sites and for the entire canton of Neuchâtel.
All personnel and doctors of Clinique Montbrillant will continue to work
within the clinic. Clinique Montbrillant will formally be integrated into
GSMN Neuchâtel as of 1 April 2015.

GSMN has concluded today, through the intermediary of its subsidiary GSMN
Neuchâtel SA, an agreement regarding the integration of 100% of the shares
of Montbrillant SA, which owns a private clinic in La-Chaux-de-Fonds.
Clinique Montbrillant is mainly specialised in orthopaedics, ophthalmology,
gynaecology and general surgery. In 2014, the clinic realised a turnover of
nearly CHF 15 million. The site includes two buildings, one of which was
built in 2012 and which comprises, amongst others, three latest generation
operating theatres. With the integration of Clinique Montbrillant, GSMN is
now able to offer quality medical services to all patients of the canton of
Neuchâtel.

With the integration into GSMN, Clinique Montbrillant will benefit from the
advantages of an important network that will support its further
development. Medical partnerships with insurance companies as well as
purchasing synergies will be achieved with all the clinics of the group,
and mainly with Hôpital de la Providence.

The integration of Clinique Montbrillant proves GSMN's attachment to the
canton of Neuchâtel as well as its intention to invest in and develop a
medical activity for the entire population of the canton. The integration
of Clinique Montbrillant serves to ensure the longevity and development of
the clinic, as well as its employments. On the long run, it will lead to
important investments in this mountainous part of the canton. GSMN wishes
to obtain the inscription of Clinique Montbrillant on the hospital list of
the canton of Neuchâtel, in order to facilitate the medical treatment of
patients in their environment, especially now that this proximity to
medical care is threatened.

Clinique Montbrillant, founded in 1909 in La Chaux-de-Fonds, is mainly
specialised in ophthalmology, orthopaedics, gynaecology and general
surgery. It also offers a wide range of specialised consultations,
including a radiology centre and general medicine services. With 60
employees and 35 doctors, the Clinique annually realises, with 25 beds,
some 3'250 surgical interventions, of which 75% are ambulatory.
