("Schneider") to acquire its global Transportation Business. Schneider is a global specialist in energy management and automation with revenues of EUR25 billion in 2014 and 170,000 employees in over 100 countries. Schneider's Transportation Business, formerly operating as Telvent Tráfico y Transporte, offers an industry portfolio of integrated Advanced Traffic Management Software (ATMS) solutions - for urban, highway and tunnel applications as well as tolling and transit solutions. This acquisition will enable Kapsch TrafficCom to offer its current and future customers around the globe an integrated portfolio of intelligent transportation systems (ITS) extending from the highway to the city. With 2014 revenues of EUR134 million, Schneider's contribution will further grow Kapsch TrafficCom's business and strengthen its Intelligent Mobility Solutions (IMS) strategy as outlined in its recently announced Strategy 2020. Schneider also complements and expands Kapsch's global footprint in important growth markets like Spain, Latin America, the U.S.A. as well as the Middle-East. The terms of the agreement reflect a purchase price of EUR35 million on a cash free debt free basis. The agreement is conditioned upon the satisfaction of certain regulatory conditions and on other customary closing conditions. The transaction is expected to be closed in the coming months.
