freenet.de AG Announces Settlement with Majority of Plaintiffs in Rescissory Action against Merger Decision
freenet.de AG, Hamburg, today decided - upon the advice of the Hamburg district court - to settle with 6 of the 7 plaintiffs, and the two interveners, who had filed for rescissory action against the Annual General Meeting 2005s merger decision. The Hamburg district court today recorded the settlement. The partial settlement eliminates the participating plaintiffs and the interveners from the action. The release procedure before the Hamburg district court will be continued with the one remaining plaintiff.
In light of these developments, the executive board and supervisory board will withdraw the resolution proposal announced as Agenda Item 8 (Ratification of the Annual General Meetings decision on August 25, 2005 to approve the merger contract with mobilcom AG and telunico holding AG dated July 8, 2005) in the invitation to the regular Annual General Meeting on August 30.
