GFT Technologies AG (GFT) Leopoldstr. 1, 78112 St. Georgen announces that its subsidiary emagine GmbH (emagine), Düsseldorfer Str. 13, 65760 Eschborn, has been in negotiations since 22.12.2004 with the IT subsidiary of a DAX-listed financial services provider concerning an agreement, initially for one-year, to manage non-strategic IT services providers and freelance IT specialists. To this end, a letter of intent has been agreed, the objective of which is to govern further co-operation between the parties until the conclusion of a definitive agreement. The purpose of the co-operation is to decrease procurement costs, optimise procurement processes and reduce administration.
In connection herewith, it is planned that emagine will assume responsibility for parts of the procurement and administrative process. All non-strategic IT service providers are to be contracted by emagine based on a framework agreement that is currently under negotiation. The framework agreement will also define the services to be provided by emagine and the respective remuneration.
The two parties aim to implement the agreed procurement and administrative processes as early as in the second quarter of 2005. The achieved outcomes are due to be reviewed after three months.
In the event an agreement is concluded, emagine anticipates an annual transaction volume of approximately EUR 20,000,000 from the co-operation.
This notification is published during ongoing contractual negotiations owing to section 15(3) German Securities Trading Act.
