Notification pursuant to Section 21 para 1 (Stimmrechtsmitteilung) and Section 24 of the German Securities Trading Act concerning GFK AG
Morgan Stanley, with address at The Corporation Trust Company, Corporation Trust Center, 1209 Orange Street, Wilmington, Delaware DE 19801, USA, herewith notifies you on its own behalf and on behalf of such further subsidiaries as mentioned below pursuant Section 21 para I and Section 24 German Securities Trading Act that:
1. Morgan Stanley & Co. International plc, 25 Cabot Square, Canary Wharf, London E14 4QA,United Kingdom on May 21. 2007. has exceeded the threshold of 3% and of 5% of the voting rights of GFK AG, Nordwestring 101, 90319 Nuernberg, and on that day holds 6.41% of the voting rights (= 2,264,497 shares, each carrying one voting right); and
2. Each of the following holding entities of Morgan Stanley & Co. International plc:
(i) Morgan Stanley, The Corporation Trust Company, Corporation Trust Center, 1209 Orange Street, Wilmington, Delaware DE 19801, USA;
(ii) Morgan Stanley International Holdings Inc., The Corporation Trust Company Corporation, Trust Center 1209 Orange Street, Wilmington, Delaware DE 19801, USA;
(iii) Morgan Stanley International Limited, 25 Cabot Square, Canary Wharf, London E14 4QA, United Kingdom;
(iv) Morgan Stanley Group (Europe), 25 Cabot Square, Canary Wharf, London E14 4QA, United Kingdom; and
(v) Morgan Stanley UK Group, 25 Cabot Square, Canary Wharf, London E14 4QA, United Kingdom,
on May 21, 2007, has also exceeded the threshold of 3% and of 5% of the voting rights of GFK AG, Nordwestring 101, 90319 Nuernberg and on that day hold 6.41% of the voting rights (= 2,264,497 shares, each carrying one voting nght), whereby 6.41% of the aforementioned voting rights, which are directly held by Morgan Stanley & Co. International p1c, London have to be attributed to each of the entities mentioned above under (i) to (v) pursuant Section 22 para. I Nr. I of the German Securities Trading Act. In each case the attribution to each of the entities set forth under (i) to (v) above occurs through each of the entities mentioned below the respective entity.

on May 23, 2007, has also fallen below the threshold of 3% and of 5% the voting rights of GFK AG, Nordwestring 101, 90319 Nuemberg and on that day hold 0 shares and 0.00% of the voting rights. Therefore no voting rights are directly held by Morgan Stanley & Co. International plc, London, and no voting rights are attributed to any of the entities mentioned above under (i) to (v) pursuant Section 22 para. 1 Nr. I of the German Securities Trading Act. In each case the attribution to each of the entities set forth under (i) to (v) above occurs through each of the entities mentioned below the respective entity.
